Sourcing Service Terms (Draft)

Version: Draft v1 — 29 Sep 2026

Note: This is a draft, not binding legal advice. Review by legal counsel is required before going live (entity, liability limits, KVKK/GDPR, tax).

1. Parties

Service Provider: AGC (All Guide) — [legal entity, address, tax details to be added] (“AGC”).
Client: the natural/legal person who submits a request and confirms the form (“Client”).

2. Scope

AGC takes the Client's production need, researches and verifies suitable manufacturers, runs the RFQ process, standardizes quotes and provides a comparable shortlist. On request, samples, quality control, production tracking and logistics coordination may be provided as add-on services. AGC is an intermediary/coordinator, not a manufacturer or seller.

3. Process

  1. Client submits a request (RFQ).
  2. AGC clarifies the request and confirms scope/fee.
  3. AGC researches and verifies manufacturers.
  4. AGC collects and standardizes quotes and delivers the shortlist.
  5. Client may proceed to order/contract with a manufacturer.

4. Fees and Payment

5. No-Bypass

Where the Client orders directly from manufacturers introduced through AGC while bypassing AGC, the success fee in Section 4 continues to apply for the period agreed by the parties.

6. Limitation of Liability

AGC verifies manufacturers with reasonable care; however, final product quality, production and delivery performance are governed by the contract between the manufacturer and the Client. AGC's total liability is limited to the sourcing fee charged for the relevant request. AGC is not liable for indirect damages. Independent quality control reduces but does not fully eliminate risk.

7. Confidentiality

The parties keep information shared during the process confidential. The Client's technical documents are shared only with the manufacturers needed to obtain quotes. A separate NDA is signed on request.

8. Data Protection

Personal data is processed under the Privacy Policy. The process is KVKK/GDPR compliant.

9. Term and Termination

The agreement is formed per request and ends on completion of the relevant service. Either party may end the relationship by written notice; accrued fees and success-fee obligations survive.

10. Governing Law

This agreement is governed by the laws of the Republic of Türkiye. Disputes are subject to [competent courts to be added].
